Introduction
By engaging the services of Girl Reconstructed, LLC, you agree to the following policies, which govern the professional relationship between us.
Services
Services provided include:
- Editorial: editing, proofreading, original work
- Documentation: training material, standardized templates and forms
- Spreadsheets: organizing, creating
- Consulting: design, organization, training
Specific deliverables are defined per project.
Payments
Payment terms are specified per project. Generally:
- All digital deliverables are non-refundable once delivered.
- Deposits are non-refundable.
- Invoices will be issued via email, Square, PayPal, or other agreed-upon method
- Late payments may incur a 5% fee per 30 days past due
- Missed meetings without notice may delay the project or incur a fee.
- Payment is due upon receipt unless otherwise noted
Refunds & Cancellations Policy
For service-based work, refunds are provided only if deliverables fail to meet the agreed-upon scope. Cancellation requires 7 days’ notice. Non-refundable deposits may apply. All digital sales (e.g., templates, downloads, or form packs) are final. No refunds will be issued once the product has been delivered, accessed, or downloaded.
Changes and Revisions
Any changes to the scope, timeline, or deliverables must be agreed upon in writing. Extra work or out-of-scope tasks may incur additional charges.
Client Responsibilities
The Client agrees to provide the following:
- Access to necessary resources or documents for completing the project
- Timely feedback or approval of deliverables
- Information about any specific requirements
- Notice of changes or delays
Communication
Primary communication is via email. Phone, Zoom, or Teams meetings are scheduled as needed. Regular updates will be provided as needed or requested.
Confidentiality
Both parties agree to keep all proprietary or confidential information shared during the course of this project confidential. Data will be handled in accordance with best practices to ensure privacy and security. A separate Data Processing Agreement is available if needed. Clients requiring additional confidentiality measures may request a separate Non-Disclosure Agreement (NDA).
Privacy Policy
Girl Reconstructed, LLC collects limited personal information necessary for business purposes only. Information is not sold or shared without consent. Other information is automatically collected via cookies and analytic plugins. Please refer to the full Privacy Policy documentation for more details.
Intellectual Property & Usage Rights
All content created remains the property of Girl Reconstructed, LLC until full payment is received. Clients receive business-use rights; resale or redistribution is prohibited without written permission. Unless otherwise requested in writing, final deliverables may be displayed in Girl Reconstructed’s portfolio or marketing materials.
Independent Contractor Relationship
The Service Provider is an independent contractor and not an employee, partner, or joint venture of the Client.
Termination
Either party may end this Agreement at any time by providing written notice. Any active SOW will still be honored or wrapped up appropriately. The Client will be billed for work completed up to the date of termination.
Limitation of Liability
Neither party shall be liable for indirect, incidental, or consequential damages. Liability for any claim will not exceed the total amount paid for services rendered.
Force Majeure
Neither party shall be liable for delays or failure to perform caused by circumstances beyond their reasonable control, including acts of God, natural disasters, labor disputes, or governmental actions.
Dispute Resolution
In the event of a dispute, both parties agree to attempt resolution through good-faith negotiation. If unresolved, disputes will be submitted to mediation before pursuing legal action. Any legal proceedings shall be filed in the state or federal courts located in Florida.
Severability
If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
Governing Law
All agreements shall be governed by and construed in accordance with the laws of the State of Florida.
